BY LAWS
OF THE
MACON BAR ASSOCIATION

Section 1. MEETINGS,: Regular meetings of the Association shall be held upon the call of the President. Members shall receive written notice of the time and place of all regular meetings posted by regular mail in advance of the meeting. The act of a simple majority of the members present and voting at a meeting of which proper notice has been given shall be the act of the Association.

Section 2. DUES:

(a) The Association shall operate on a fiscal year beginning June 1. Membership dues shall be established by simple majority vote of the members present and voting at a regular meeting of the Association. Dues shall be due and payable on September I of each year. Only those members whose dues have been received by October I of any year, shall be entitled to receive notice of and attend Association meetings and functions for the remainder of the fiscal year. Any person qualified for membership who pays his dues after October 1, shall be placed on the rolls and be entitled to notice of any subsequent meetings and functions.

(b) Active members shall pay full dues as set by the membership. First year lawyer members shall pay dues equal to one-half the amount paid by active members. Senior members shall pay no dues.

Section 3. OFFICERS:

(a) President: the President shall preside at all meetings of the Association and Executive Committee. He or she shall perform all duties incident to the office and recommend such action as he or she deems useful to the Association.

(b) President-Elect: The President-Elect shall act in the absence of the President.

(c) Secretary: The Secretary shall keep all membership records; shall be the administrative officer of the Association; and shall cause notices to be sent.

(d) Treasurer: The Treasurer shall receive and disburse the funds of the Association, subject to the approval of the Executive Committee. He or she shall deposit all Association monies in the name of the Association.

Section 4. EXECUTIVE COMMITTEE: This committee shall exercise such powers and control as are usually exercised by governing boards, and shall in the interim between meetings of the Association have control of the affairs of the organization, with powers to act on its behalf. The Editor of the Macon Bar Newsletter shall serve as an ad-hoc non-voting member of the Committee.

Section 5. JUDICIAL QUALIFICATIONS SURVEY: During the vacancy of a Superior or State Court Judgeship or any other judgeship in the Macon Judicial Circuit, the Executive Committee may initiate a survey of the membership of the Association as to the qualifications of the formally announced candidates. The membership shall respond to the survey anonymously and the results of the survey shall be compiled by the Executive Committee. The survey forms and compilation of results shall at all times remain CONFIDENTIAL except that the Executive Committee will transmit the results of the survey to the Judicial Nominating Commission for the State of Georgia and the Governor. If requested, the Executive Committee will also disclose the compilation of results of the survey solely to the individual candidates.

Section 6. FILES AND RECORDS: Officers and committee chairs shall maintain and preserve official files of association documents, correspondence, and material and turn such files over to their respective successors in office.

Section 7. AMENDMENTS: These Bylaws may be amended by a simple majority vote of the members present and voting at a regular meeting of the Association.
